Wholesale orders of Ora-Shield are available to dental and healthcare practices (doctors, chiropractors, naturopaths, etc.) for in-office retail and/or patient care-packet distribution. Wholesale accounts may order as few as 12 units per order and, subject to availability, up to 1,000 units per month.

To protect patients, practices, and consistent product representation:
No third-party online marketplace sales (including Amazon, eBay, Walmart Marketplace, or similar platforms) without prior written authorization from Seller.
No unauthorized medical claims. Ora-Shield must not be represented as diagnosing, treating, curing, mitigating, or preventing any disease.

Acceptance by Order
By placing an order, the Buyer acknowledges and agrees to the Wholesale Terms & Conditions below.
ORA-SHIELD WHOLESALE TERMS & CONDITIONS
(Wholesale Purchase & Authorized Reseller Terms)
Effective Date: February 20, 2026
These Wholesale Terms & Conditions (“Terms”) govern purchases of Ora-Shield products (“Products”) by the purchaser identified on the invoice, order confirmation, wholesale request form submission, or other purchasing communication (“Buyer”) from True Wealth Health Products, LLC (“Seller”).
1) Purpose; Relationship
Buyer is purchasing Products for in-office resale and/or in-office distribution to patients. Nothing in these Terms creates a franchise, partnership, joint venture, employment relationship, or agency relationship between Seller and Buyer.
2) Ordering; Minimum Order Quantity
- Minimum order quantity: 12 units per order, unless Seller agrees otherwise in writing.
- Orders may be placed via email, wholesale request form, phone, or Seller’s invoice/ordering system.
- Seller may accept or decline any order at its discretion (including for inventory limitations or compliance concerns).
3) Wholesale Pricing; Volume Discounts; Shipping Inclusion (Pricing by Reference)
Wholesale pricing, volume discounts, and any shipping inclusion are as listed on the Seller’s wholesale webpage and/or the applicable invoice/order confirmation in effect at the time the Seller accepts Buyer’s order (“Wholesale Pricing”). Unless otherwise stated in the Wholesale Pricing, pricing is based on the number of units shipped in a single order.
4) Payment Terms
- Prepayment is required unless the Seller approves other payment terms in writing.
- Buyer agrees to pay the invoice prior to shipment (or at time of order via card/ACH if offered).
- If Seller extends credit terms (e.g., Net-15 or Net-30), Seller may modify or revoke credit terms for late payment, increased risk, or noncompliance.
5) Shipping; Delivery; Split Shipments
- Unless otherwise stated in the Wholesale Pricing or invoice, standard ground shipping is included for delivery to one address per order within the contiguous (continental) United States.
- Expedited shipping is available at additional cost and must be requested at the time of order.
- Large orders may ship in multiple cartons/boxes and may be fulfilled in multiple shipments as inventory and logistics require.
- Title and risk of loss transfer to Buyer upon Seller’s tender to the carrier, unless otherwise required by applicable law.
6) Taxes; Resale Certificates
Buyer is responsible for applicable sales/use taxes unless Buyer provides a valid resale certificate or other documentation required for tax exemption in the shipping jurisdiction. Seller may collect sales tax where required by law.
7) Inspection; Damages; Defects
Buyer must inspect shipments promptly.
- Shipping damage / incorrect items: Buyer must notify Seller within 7 days of delivery and provide reasonable documentation (including photos, when available).
- Defective product: Buyer must notify Seller within 14 days of delivery and provide details, including lot information when available.
Seller will, at its option, replace affected units or issue credit. This policy does not cover misuse, improper storage, or normal wear.
8) Returns
Unless Seller approves otherwise in writing, returns are not accepted for opened, used, or patient-distributed Products. Seller may approve returns for unopened, resalable Products on a case-by-case basis, subject to return shipping at Buyer’s expense and any applicable restocking fee.
9) Authorized Sales Channels; Prohibited Marketplace Sales
Buyer is authorized to sell Products only through:
- Buyer’s physical office locations, and
- Buyer’s practice website (if applicable) only if sales are fulfilled directly by Buyer and otherwise comply with these Terms.
Buyer shall not list, advertise, or sell Products on third-party online marketplaces, including but not limited to Amazon, eBay, Walmart Marketplace, or similar platforms, without Seller’s prior written authorization.
10) Marketing & Claims Compliance (No Unauthorized Claims)
Buyer agrees to market and describe Products responsibly and in compliance with applicable laws, regulations, and professional standards.
Buyer shall not make or imply claims that the Product diagnoses, treats, cures, mitigates, or prevents any disease, or otherwise makes drug-like claims, unless such claims are provided by Seller in writing and are legally compliant.
Buyer shall not alter Product labels or packaging. Buyer may use Seller-provided product descriptions, images, and marketing assets solely for permitted sales under these Terms.
11) Intellectual Property
Seller retains all rights in Product names, trademarks, trade dress, images, and other intellectual property. Buyer receives a limited, non-exclusive, revocable permission to use Seller-provided assets solely for permitted sales consistent with these Terms.
12) Price Changes; Notice
Seller may adjust Wholesale Pricing with at least 30 days’ written notice. Orders accepted prior to the effective date will be honored at the prior pricing.
13) Product Availability; Allocation
All orders are subject to availability. The Seller may allocate inventory among customers during shortages.
14) Limitation of Liability
To the maximum extent permitted by law:
- Seller’s total liability relating to Products or these Terms will not exceed the amount Buyer paid for the specific Products giving rise to the claim.
- Seller shall not be liable for indirect, incidental, special, consequential, or punitive damages (including lost profits).
15) Indemnification
Buyer will indemnify and hold Seller harmless from claims arising from Buyer’s unauthorized marketing statements, unauthorized claims, repackaging, relabeling, or sale through prohibited channels.
16) Suspension; Termination
Seller may suspend or terminate Buyer’s wholesale purchasing privileges immediately for material breach, including prohibited marketplace sales or unauthorized claims. Buyer remains responsible for payment of all outstanding invoices.
17) Governing Law; Venue
These Terms are governed by the laws of the State of Washington, without regard to conflict of laws principles. Any action arising out of or relating to these Terms shall be brought in the state or federal courts located in Yakima County, Washington, and the parties consent to that venue and jurisdiction, unless otherwise required by applicable law.
18) Acceptance by Ordering; Entire Agreement
By placing an order, Buyer acknowledges and agrees to these Wholesale Terms & Conditions. These Terms, together with applicable invoices and written order confirmations, constitute the entire agreement between Seller and Buyer regarding wholesale purchases of Products and supersede all prior or contemporaneous communications on that subject, except as expressly agreed in writing by Seller.
